Formatting & Structure Updates

The bylaws have been reorganized into Articles and clearly defined sections for improved readability and easier reference.

This includes organizing Article IV into subsections for Positions, Terms of Office, and Election Process.

These updates are structural only and do not change the meaning, officer roles, term lengths, or election procedures of the WCCA.

Officer Structure

Splitting the Secretary- Treasurer Position into Two Positions

Current:

One Secretary-Treasurer

Proposed:

One Secretary and one Treasurer

Note: 

If approved, all references to “Secretary-Treasurer” throughout the bylaws will be updated to reflect the separation into Secretary and Treasurer roles.

Article V — Duties of Officers

Secretary-Treasurer Duties Split

Current:

The Secretary-Treasurer shall keep the records and minutes of the WCCA. In addition, the Secretary-Treasurer shall notify members when membership dues need to be paid and shall collect each dues.

Proposed:

The Secretary shall keep and maintain the records and minutes of the WCCA and provide such records to the Officers and Board of Directors as needed.

The Treasurer shall notify members when membership dues need to be paid, collect dues, and maintain and provide financial records of the WCCA to the Officers and Board of Directors.

Article VII — Fiscal Matters

Financial Authority (Updated)

Current:

Subject to the approval of the Officers and Board of Directors, the President and/or Secretary-Treasurer shall have authority to expend WCCA funds.

Proposed:

Subject to the approval of the Officers and Board of Directors, the President and/or Treasurer shall have authority to expend WCCA funds.

Article V — Duties of Officers

Reporter Role (Updated)

Current:

The Reporter shall inform the public of activities of the WCCA.

Proposed:

The Reporter shall be responsible for informing members and the public of WCCA activities, meetings, and events through appropriate communication channels.

Article X — Dues

Membership Term (New)

Current:

(No defined membership term)

Proposed:

Annual membership shall be from May 1 through April 30 of the following calendar year, regardless of the date of enrollment.

Payment Timing (Clarified)

Current:

Dues must be paid by the annual business meeting in April to continue current membership.

Proposed:

Dues must be paid by the annual business meeting in April to maintain active membership for the upcoming membership term.

Article II — Definitions

Definitions (Clarified for Consistency)

Current:

Board of Directors - The Board of Directors shall consist of three elected WCCA members from each County Commissioner’s District.

Officers - Officers shall be elected from the WCCA membership at large and shall consist of the President, Vice-President, Secretary-Treasurer, and Reporter.

Proposed:

Board of Directors — The governing body of the WCCA composed of elected members representing the County Commissioner’s Districts.

Officers — Officers shall be elected from the WCCA membership and shall consist of the President, Vice-President, Secretary, Treasurer, and Reporter.

Board Member Eligibility & District Representation (Proposed Options)

The current bylaws require three (3) board members from each County Commissioner’s District but do not clearly define eligibility requirements or officer qualifications related to Wagoner County. The following options are proposed to clarify eligibility for officers and board members.

Current:

The Board of Directors shall consist of three (3) members from each County Commissioner’s District.

(No additional eligibility requirements are defined for board members or officers.)

Option A (Residency Requirement – Strict)

Proposed:

The Board of Directors shall consist of three (3) members residing in each County Commissioner’s District.

Officers and members of the Board of Directors must maintain their primary residence within Wagoner County.

Option B (Residency or Agricultural Connection – Flexible)

Proposed:

The Board of Directors shall consist of three (3) members from each County Commissioner’s District. Members may qualify for district representation through residence or active agricultural operations conducted within that district.

 

Officers and members of the Board of Directors must have a connection to Wagoner County through residence or active agricultural operations conducted within Wagoner County.

*Members will vote to select one of the above eligibility standards.
